THE INSTITUTE OF INTERNAL AUDITORS NEW ZEALAND ANNUAL GENERAL MEETING 2026 - ONLINE PROXY VOTING FORM
The Annual General Meeting of the IIA NZ on Wednesday 20 May 2026 at the offices of:
PwC New Zealand, PwC Centre, Level 4, 10 Waterloo Quay, Wellington, and by video link, commencing at 12 noon.

Voting on resolution items
No Board election ballot is required for the 2026 AGM. Voting will apply to the resolution item only.
2026 AGM Voting Process
If you are attending the AGM in person or online, you may vote on the resolution items at the AGM by a show of hands and do not need to complete this form.
Financial members who wish to vote in advance, or who are not attending the AGM and wish to vote by proxy, may choose one of the following options:
Option 1: Attend the AGM and vote in advance
If you are attending the AGM in person or online but wish to streamline the voting process, you may submit your vote in advance by completing the online proxy voting form and appointing the Chairperson as your proxy.
Option 2: Not attending the AGM and voting by proxy
If you are not attending the AGM, you may appoint either the Chairperson or another current IIA NZ financial member attending the AGM to vote on your behalf.
All online proxy voting forms must be received by midnight on Sunday 17 May 2026, in accordance with the IIA NZ Constitution requirement that proxy forms be received no later than 48 hours before the commencement of the General Meeting.
From the 2026 AGM Notice:
Voting will be conducted at the AGM for members attending in person or online, and in advance via the online proxy voting form for members who wish to vote by proxy.
In accordance with IIA NZ Constitution, Rule 12.6(e) – Proxies, a form appointing a proxy sent in writing is of no effect unless The Institute receives it no later than 48 hours before the commencement of the General Meeting.
IIA NZ 2026 Election of Board Directors
No ballot is required for the 2026 AGM Board elections.
Five valid nominations were received for the six vacancies on the National Board. Verification of these nominations by the Returning Officer has been confirmed, and the following nominees will be declared elected unopposed at the AGM, with one vacancy remaining.
